The Website is provided to present my professional background, advisory services (project financing and management, FIDIC and MDB-harmonized contract management, MDB procurement cycle management, international business development, and project claims and dispute management), portfolio, and published insights, and to allow prospective clients to submit initial inquiries.

Any formal advisory engagement will only come into existence upon:

1. Completion of an appropriate conflict-of-interest check; and
2. Execution of a separate, formal written engagement agreement, consultancy contract, or letter of appointment setting out the specific scope, fees, confidentiality terms, and governing law applicable to that engagement.

Where the terms of a signed engagement agreement conflict with these Terms, the engagement agreement will govern for that specific assignment.

5. Confidentiality of Submissions

Consistent with the confidentiality note on the Contact page, initial inquiries, project briefs, and any corporate documentation you share through the Website are treated as confidential and are not disclosed to third parties for their own purposes, except as described in the Privacy Policy or as required by law. You should still avoid sharing highly sensitive or classified information through the contact form itself; secure channels can be arranged upon request once initial contact is established.

This governing law and venue clause applies only to use of the Website itself. Any dispute arising from an actual advisory engagement will instead be governed by the dispute resolution mechanism specified in the applicable signed engagement agreement (which, consistent with standard practice in internationally financed infrastructure advisory work, may specify institutional arbitration, such as under ICC Rules, or another jurisdiction as mutually agreed with the client).

13. Changes to These Terms

I may update these Terms from time to time to reflect changes in my practice, the Website, or applicable law. The "Effective date" above reflects the date of the latest revision. Continued use of the Website after changes take effect constitutes acceptance of the revised Terms.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

15. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and Amirmehdi Asghari regarding use of the Website, and supersede any prior agreements regarding the same subject matter (excluding any separate signed engagement agreements, which govern actual advisory relationships).
